Charter & By-Laws


 CHARTER

  1. The name of the Association is:
    ST. SCHOLASTICA’S COLLEGE ALUMNAE ASSOCIATION CANADA – ONTARIO CHAPTER (“SSCAAC”)
     

  2. The Association’s mission statement is:

    To uphold the spirit of ORA ET LABORA and foster friendship, sharing, unity and outreach among Scholasticans in Canada and the United States, and to all those who touch our lives.
     

  3. The Association has approved By-laws for governance and control.

    The purposes of the Association are:

    To network among Scholasticans in Canada and the United States as well as internationally;

    To draw up specific programs which promote and enhance cohesiveness and support among members;

    To identify and implement projects in Canada and in the Philippines where SSCAAC can contribute in ways the membership deems feasible and practicable.
     

  4. On the dissolution or winding up of the Association, all funds or tangible assets remaining after all obligations have been settled shall be transferred to the Alma Mater, St. Scholastica’s College, Manila.
     

  5. The goals of the Association shall be carried out without personal gain for its members, and any profits or other accretions to the Association shall be used to promote its objectives and specific purposes.
     

  6. This Charter may be altered, amended or repealed at any Executive Committee meeting of the Association by a two-thirds majority vote of all officers.

The members of the Executive Committee of the St. Scholastica’s College Alumnae Association Canada – Ontario Chapter adopted the foregoing Charter at their meeting held on the 18th day of  May, 2002.


BY-LAWS OF THE

ST. SCHOLASTICA’S COLLEGE ALUMNAE ASSOCIATION CANADA –

ONTARIO CHAPTER

1. Principal address: 
       
  The principal address of the Association is the residence address of the current President of the Association.
       
2. Membership:
       
  Membership classes are as follows:
       
  (a)    Regular members – all graduates of the elementary school, high school or college departments of St. Scholastica’s College, Manila or any of its branches.  All members who have paid their annual dues are members in good standing.
       
(b)   

Honorary members 

       
    (i)   

All individuals who have studied for at least two years at St. Scholastica’s College, Manila or any of its branches.

    (ii)

All individuals who have taught at St. Scholastica’s College, Manila or any of its branches for at least two years.

    (iii) At the discretion of the Executive Committee, all special individuals who have contributed or are contributing their time, talent, and expertise to the Association.
       
3.   Membership Dues:
       
 

Regular members are required to pay the annual dues prescribed by the Association.

       
4.  Officers: 
       
  (a)  Offices:  The Association shall have the following officers: President, First Vice President, Second Vice President, First Secretary, Second Secretary, Treasurer, Auditor, two Public Relations Officers (PRO) and Information Officer.  The officers form the Executive Committee of the Association.
       
  (b) Election of officers:  The election of officers shall be held every three years no later than October of such year to allow for the orderly transition of office for the new fiscal year.
       
  (c) Term of office:  Each officer will serve a three-year term of office, which is renewable for another three-year term.  If an officer is unable or unwilling to finish her term of office, she shall submit a letter of resignation providing 30 days’ notice and the remaining officers shall appoint a replacement to finish her term of office.
       
  (d) Qualification:  Each officer must be a high school or college graduate of St. Scholastica’s College, Manila or any of its branches.
       
  (e) Voting:  Regular members in good standing in the election year are entitled to vote at the election of officers. Voting can be done via website, email or regular mail as well as in person.
       
  (f)

Job responsibilities of officers:

       
    (i) President:
     
  • Provide leadership to the Executive Committee and members;
  • Exercise general supervision and direction of the affairs of the Association;

  • Prepare agenda and chair meetings of Executive Committee and general membership meetings;
  • Formulate and plan activities of the Association in order to prepare annual calendar of events; and appoint committees as necessary to carry out such activities;
  • Co-sign all association cheques with any one of the Treasurer, Second Vice President or other officer designated by the Executive Committee;

  • Review and approve all contents published in the website;
  • Prepare quarterly or semi-annual Report to the Membership, with copy to the Alumnae Moderator of St. Scholastica’s College, Manila;

  • Work with officers and members on other events as they occur.

    (ii) First Vice President:
     
  • Act in the absence of the President;

  • Assist the President in the formulation and planning of activities, fund- raising projects, special affairs, and entertainment of visiting guests;

  • Take charge of the yearly caroling event – repertoire, practices, accompanist, instruments, music pieces, folders, schedules and music library;

  • Chair one of the important projects of the year;

  • Work closely with the President on annual and regular agendas;

  • Work with officers and members on other events as they occur.

    (iii) Second Vice President:
     
  • Must possess good oral and written communication skills;

  • Assist the President in amending and streamlining the association’s charter, by-laws, goals and monitoring publications/correspondence in the website;

  • Co-sign all association cheques with any one of the President, Treasurer, or other officer designated by the Executive Committee;

  • Chair one of the important projects of the year;

  • Work with officers and members on other events as they occur.

    (iv)

First Secretary:

     
  • Take and prepare minutes of executive and general meetings;

  • Take charge of photocopying and mailing all outgoing correspondence of the President on behalf of the association;

  • Take charge of Minute Books and correspondence records of the Association;

  • Take charge of petty cash and its corresponding accounting;

  • Serve as back-up to Second Secretary;

  • Work with officers and members on other events as they occur.

    (v)

Second Secretary:

     
  • Take charge of membership directory – updating and maintaining membership list and soliciting new members;

  • Assist First Secretary with correspondence mailing and maintenance of Minute Book and correspondence records of the Association;

  • Serve as back-up to First Secretary;

  • Coordinate membership information with the Information Officer;

  • Coordinate the provision of refreshments for executive and general meetings;

  • Work with officers and members on other events as they occur.

    (vi) Treasurer:
     
  • Collect annual dues of members;

  • Maintain the association’s single bank account, chequebook, passbook;

  • Co-sign all association cheques with any one of the President, Second Vice President or other officer designated by the Executive Committee;

  • Prepare interim/annual (year-end) financial statements/analysis;

  • Work with Auditor regarding financial statements;

  • Have final responsibility for financial statements of the Association;

  • Update and maintain the financial records of the Association;

  • Co-chair fundraising committee;

  • Work with officers and members on other events as they occur.

    (vii) Auditor:
     
  • Work with Treasurer regarding financial statements;

  • Have final responsibility for accuracy of accounting, budget and financial records;

  • Audit interim/annual (year-end) financial statements/analysis;

  • Work with officers and members on other events as they occur.

    (viii) Public Relations Officer (PRO):
     
  • Maintain media list; know media deadlines;

  • Write press releases and distribute press releases to media, if required;

  • Watch for and present to the Executive Committee for discussion, any worthwhile projects/activities which the Association may wish to take on;

  • Work with officers and members on other events as they occur.

    (ix) Information Officer:
     
  • Ensure that information is disseminated to all members in a timely and accurate manner, either through the association’s website – www.scholastican.org or through the association’s group email – sscaa@yahoogroups.com.

  • Work with officer(s) in charge of providing web content;

  • Work with officer(s) in charge of membership information;

  • Moderate membership to the association’s group email;

  • Moderate messages going into the association’s group email;

  • Work with officers or members on other events as they occur.

5.

Meetings of Members:

       
  (a)

Meetings are held at the residence of an officer or at any other designated location as may be decided by the officers from time to time;

       
  (b)

Executive meetings are held at least every three (3) months or more frequently as the officers may deem necessary;

       
  (c) There shall be an annual general meeting for all members.  Other general meetings may be held, as the officers may deem necessary.
       
6. Quorum:
       
  (a)

At Executive Committee meetings, the vote of the majority of officers in attendance at the meeting shall be carried out;              

       
  (b)

At any general meeting of the members of the Association, a majority of the members in good standing shall constitute a quorum. The vote of the majority of members in good standing in attendance shall be carried out.

       
7. Committees:
       
  (a)

The Officers may create any special committee as they may deem appropriate and appoint and determine the membership thereof, in order to carry out any special project of the Association;

       
  (b)

Special committees are chaired by an officer who reports to the President;

       
  (c) All receipts and disbursements of special committees are funneled through the Treasurer of the Association.
       
8.

Fiscal Year: 

       
 

The fiscal year of the Association shall commence on January 1st and end on December 31st of each year.

       
9.

Bank Account: 

       
 

The Association shall have one single bank account, to be handled by the Association Treasurer.  Association cheques are to be signed by any two of the following officers of the Association – the President, the Treasurer and the Second Vice President, or any other officer, as may be designated by the Executive Committee.

       
10.

Guidelines on Association Funds: 

       
 

All funds shall be raised and expended in accordance with the following principles:

       
  (a) 

Financial support of public activities by the Association shall be in consonance with the objectives of the Association as set out in our Charter;

       
  (b)

The Association’s funds shall be used for specific, identifiable projects and programs.

       
11. Information Technology: 
       
  The Association shall maintain and utilize the website for the purpose of disseminating all pertinent and important information to all members. The current website address is: www.scholastican.org; the current group email is sscaac@yahoogroups.com.
       
12.

Amendment by Members: 

       
 

These By-laws may be altered, amended, or repealed at any Executive Committee meeting by a two-thirds majority vote of all officers.

       
13.

Dissolution:

The members of the Executive Committee of the St. Scholastica’s College Alumnae Association Canada – Ontario Chapter adopted the foregoing By-Laws at their meeting held on 18th day of May 2002.
